MemoryPulse™ Brand Ambassador Terms ​ Terms & Conditions Effective Date: Immediately By applying to or participating in the MemoryPulse™ Brand Ambassador Program, you agree to the following terms: 1. Program Overview The MemoryPulse™ Brand Ambassador Program is a commission-based opportunity where approved participants promote MemoryPulse™ products using a unique referral code. Brand Ambassadors are independent participants and are not employees, partners, or agents of MemoryPulse™. 2. Eligibility To participate, you must: Be at least 18 years old Provide accurate and complete application information Be approved by MemoryPulse™ MemoryPulse™ reserves the right to accept or deny any application at its sole discretion. 3. Role & Responsibilities Brand Ambassadors agree to: Promote MemoryPulse™ in a professional and ethical manner Use only approved messaging and materials when available Share their assigned referral code responsibly Accurately represent the product without false or misleading claims Brand Ambassadors may not: Make medical claims or guarantees Misrepresent their relationship with MemoryPulse™ Alter pricing, offers, or brand messaging Engage in spam, deceptive marketing, or unethical behavior. 4. Commission Structure Brand Ambassadors earn $10 USD per qualifying bracelet sale made using their unique referral code. A qualifying sale must: Be completed using the ambassador’s referral code Not be canceled, refunded, returned, or disputed MemoryPulse™ reserves the right to verify all transactions before issuing payment. 5. Payment Terms Commissions are paid monthly for verified sales from the prior period Payments are issued via approved methods (e.g., Zelle, PayPal, Cash App) Payments may be delayed to account for refunds, chargebacks, or fraud review Brand Ambassadors are responsible for providing accurate payment information. 6. Independent Contractor Status Participation in this program does not create an employment relationship. Brand Ambassadors: Control their own schedule and methods of promotion Are not guaranteed income Are not eligible for benefits Are responsible for any applicable taxes or reporting requirements 7. Disclosure Requirements Brand Ambassadors must clearly disclose their relationship with MemoryPulse™ when promoting products. Acceptable disclosures include: #ad #sponsored “MemoryPulse Ambassador” Failure to disclose may result in removal from the program. 8. Use of Brand Assets MemoryPulse™ logos, product images, and materials: May only be used for approved promotional purposes May not be altered without permission Remain the property of MemoryPulse™ 9. Content & Conduct Brand Ambassadors agree to: Communicate respectfully and professionally Avoid harmful, offensive, or misleading content Follow all applicable laws and platform rules MemoryPulse™ may request removal of any content that does not meet these standards. 10. Termination MemoryPulse™ reserves the right to suspend or terminate participation at any time, including for: Violation of these terms Misrepresentation or misconduct Fraudulent or suspicious activity Upon termination: The ambassador must stop using their referral code Any remaining eligible commissions will be reviewed and paid accordingly. 11. No Guarantee of Earnings MemoryPulse™ makes no guarantees regarding: Sales volume Income potential Program availability Earnings depend entirely on individual effort and performance. 12. Modifications MemoryPulse™ reserves the right to update or modify these Terms & Conditions at any time. Continued participation constitutes acceptance of any updates. 13.
